These Terms of Service govern access to and use of DonorFoundry. By creating an account, accepting a team invitation, purchasing an annual plan, or using the service, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent.
1. Eligibility and authority
You must be legally able to enter into these Terms and authorized to act for the organization whose account you create or manage. You are responsible for keeping account information accurate and for safeguarding sign-in credentials.
2. The service
DonorFoundry provides software for nonprofit prospect discovery, fundraising research, prioritization, workflow, and AI-assisted content generation. Features, coverage, data sources, enrichment frequency, and available signals may vary by plan, geography, source licenses, and product development.
3. Annual subscriptions and billing
DonorFoundry plans are billed annually at the price shown at checkout unless a written order states otherwise. Payments are processed by Stripe. Subscriptions may renew automatically for additional annual terms unless canceled before renewal through the available billing tools or as otherwise communicated. Taxes may apply. Except where required by law or expressly agreed in writing, fees already paid are non-refundable.
4. Customer accounts and seats
Foundation currently includes up to two active workspace seats and Growth up to five active workspace seats. You may invite authorized coworkers up to the plan limit. You are responsible for activity performed through your workspace and for promptly removing access that is no longer appropriate.
5. Responsible prospecting
You may use DonorFoundry for legitimate nonprofit fundraising, sponsorship, grant, stewardship, and related relationship-management purposes. You must use prospect intelligence lawfully and respectfully, follow applicable fundraising, privacy, anti-spam, telemarketing, and marketing rules, and honor suppression, opt-out, or do-not-contact preferences that apply to your outreach.
6. Prohibited use
You may not use DonorFoundry to harass, threaten, deceive, discriminate unlawfully, facilitate illegal activity, send unlawful or abusive communications, scrape or redistribute the service in bulk, bypass technical limits, compromise security, impersonate others, or build a competing data product through systematic extraction. You may not treat an AI-generated inference as a verified fact when doing so could mislead or harm a person.
7. Customer content
You retain responsibility for information you submit, including nonprofit profile data, imported records, campaign information, notes, and instructions. You represent that you have the rights and authority necessary to provide that information for use with the service. You grant DonorFoundry the limited rights needed to host, process, analyze, transform, and display customer content to provide and improve the service.
8. Prospect data and AI output
Prospect information can come from multiple public, licensed, partner, customer-provided, and inferred sources. Data can be incomplete, outdated, ambiguous, or incorrect. AI-generated rankings, ask ranges, relationship clues, summaries, and outreach drafts are decision-support tools. DonorFoundry does not guarantee that a person or organization will donate, respond, qualify for an opportunity, or be appropriate to contact. Fundraising decisions remain with the customer.
9. Third-party services
DonorFoundry relies on third-party services including Stripe and Amazon Web Services. Third-party services may be governed by separate terms, may change independently, and may experience outages or limitations outside DonorFoundry’s control.
10. Intellectual property
DonorFoundry and its software, design, workflows, branding, documentation, and proprietary models are protected by applicable intellectual-property laws. These Terms grant a limited, non-exclusive, non-transferable right to use the service during an active subscription for your organization’s internal fundraising purposes.
11. Suspension and termination
We may suspend or restrict access when reasonably necessary for security, nonpayment, legal compliance, material breach, abuse, or protection of the platform or other people. Customers may cancel future renewal through available billing tools. After termination, access may end while certain account, billing, consent, security, suppression, and legal records are retained as described in the Privacy Policy.
12. Disclaimers
To the extent permitted by law, DonorFoundry is provided on an “as is” and “as available” basis. We do not warrant uninterrupted operation, complete data coverage, error-free data, specific fundraising results, donor response, grant awards, sponsorships, or donation amounts.
13. Limitation of liability
To the extent permitted by applicable law, DonorFoundry will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost revenue, donations, goodwill, or data arising from use of the service. Any additional liability limitations applicable to a commercial order may be stated in the applicable order, invoice, or written agreement.
14. Changes
We may update these Terms as the service changes. The published “Last updated” date identifies the current version. Material changes may be communicated through the service or by email. Continued use after an effective update constitutes acceptance to the extent permitted by law.
